Waterfall Website Terms
By using Waterfall’s websites (the “Website”), you agree to these Waterfall Website Terms (“Website Terms”). The Website offers information about Waterfall and its products and services, along with related resources. Your access to and use of the Website constitutes acceptance of these Website Terms.
1) Website Content
You are responsible for any activity affecting your system or network while you use this Website. We may attempt to identify your company’s domain by matching your IP address against our proprietary database. If you prefer not to be identified, use a proxy, VPN, or similar tool.
You may not copy, modify, distribute, redistribute, upload, transmit, display, reproduce, transfer, post, resell, or republish any content on this Website—including text, graphics, logos, images, and media clips (collectively, “Content”)—without Waterfall’s prior written consent. All Content and related intellectual property rights are owned exclusively by Waterfall or its licensors.
2) Accurate Information
If you submit any forms on the Website, you must provide information that is complete, accurate, and up to date. You may not impersonate anyone, misstate your relationship with any person or entity, or misrepresent the source of any content you provide through the Website.
3) Prohibited Conduct
You may not, when accessing or using the Website:
- Post, send, or transmit any unlawful, infringing, harmful, harassing, defamatory, threatening, or otherwise objectionable material; any content that exploits children; invades privacy; violates others’ rights; or any content that Clearbit designates as prohibited.
- Tamper with, hack, circumvent, modify, or otherwise compromise Website security or authentication measures.
- Upload or make available files containing images, software, or other materials protected by intellectual property laws (including copyright, trademark, publicity, or privacy rights) unless you own or control the rights or have all necessary permissions.
- Disrupt the Website’s operation or interfere with others’ use of the Website.
- Violate any applicable laws or regulations.
- Assist or enable anyone else to do any of the above.
4) Links to Third-Party Websites
Waterfall may include links to third-party sites or resources. We do not control those sites and are not responsible for their availability, content, or services. Links do not mean we endorse those sites, entities, products, or services. All warranties or terms—express or implied—about any linked site (including accuracy, ownership, validity, or legality) are disclaimed. You are solely responsible for protecting yourself from viruses, worms, Trojan horses, and other malicious code when using any linked site.
5) Disclaimer and Limitation of Liability
The Website and its Content are provided “as is” and “as available,” without any warranties, express or implied, including merchantability, fitness for a particular purpose, title, or non-infringement. Waterfall may update the Website’s content or features at any time without notice. Waterfall will not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of use, data, revenue, or profits), whether or not advised of the possibility, arising from or related to your access to, use of, or inability to use the Website or its Content. These limits apply even if any remedy fails its essential purpose. In all cases, the total liability of Waterfall and its affiliates, contractors, employees, agents, partners, licensors, or suppliers to you will not exceed Twenty Dollars (US $20). This cap is a material term of these Website Terms.
6) Indemnity
You agree to indemnify and hold harmless Waterfall and its affiliates, officers, directors, employees, and agents from any third-party claims, demands, or liabilities (including reasonable attorneys’ fees) arising from your breach of these Website Terms, violation of law, or infringement of third-party rights. Waterfall may assume the exclusive defense and control of any matter you must indemnify, at your expense, and you will cooperate with Waterfall’s defense. We will use reasonable efforts to notify you when we become aware of such claims.
7) General
These Website Terms are governed by the laws of the State of California, excluding its conflict-of-law rules. Waterfall may modify these Website Terms at any time in its sole discretion. We will post changes on the Website, and your continued use after changes are posted means you agree to the updated terms.
